Catalog of Sample Policies for Pennsylvania's Conservation DistrictsBoard Members' Code of Conduct Policy The Board expects of itself and its members ethical and business-like conduct. Board members must represent unconflicted loyalty to the interests of the membership of the Center. This accountability supercedes the personal interest of any director acting as an individual consumer of the Center's services. Board members must avoid any conflict of interest with respect to their fiduciary responsibility. Board members may not attempt to exercise individual authority over the Center except as explicitly set forth in Board policies. Board members' interaction with the Executive Director or with staff must recognize this lack of authority; further, Board members will make no judgements of the Executive Director's or staff's performance except as set forth by the official process. Board members' interaction with the public, press, or other entities must recognize the same limitation and the similar inability of any director to speak for the Board. |
